Terms of Service

Last updated: September 17, 2026. These terms govern the use of this website and the provision of services by Make Things Happen, Inc., operating as Digirockstars.

01
Introduction

These Terms of Service govern the use of digirockstars.co and the provision of services by Make Things Happen, Inc., operating as Digirockstars (“we”, “us”, or “our”). They also cover our platforms, including WOMO and AlwaysOn.

By using this website or engaging our services you accept these terms. Where a signed client agreement, master services agreement, or statement of work exists, that document governs the engagement and these terms apply only to matters it does not address.

02
Who we are

Legal entity: Make Things Happen, Inc., operating as Digirockstars

Website: digirockstars.co

General enquiries: hey@digirockstars.co

We are a performance marketing agency working with licensed operators in regulated digital markets, primarily iGaming and fintech in the Philippines and Southeast Asia.

03
Our services

We provide acquisition, retention and lifecycle marketing, affiliate and influencer distribution through the WOMO network, AI livestreaming through AlwaysOn, growth strategy, and related analysis.

Scope for any engagement is set in a written statement of work. Nothing on this website constitutes an offer, a quotation, or a commitment to perform services.

04
Client engagements

Engagements begin with a written statement of work setting out deliverables, timelines, fees, and the measurement approach. Work outside that scope is agreed in writing before it begins.

Where a budget cannot support the agreed scope we reduce the scope rather than the rate. We do not discount an agreed fee while holding the deliverables constant.

We may require access to performance data, including deposit, revenue, and retention figures, before agreeing to targets. Where that access is not available we will say what can and cannot be committed to without it.

05
Fees and payment

Unless a statement of work says otherwise, services operate on an advance monthly invoice. Media budget and agency fees are payable before the period they relate to.

Media spend is passed through at cost unless stated otherwise. We do not take undisclosed margin on third-party platform licences we recommend.

Late payment may result in suspension of services. We will give notice before suspending an active campaign.

06
Intellectual property

Campaign assets produced for a client under a statement of work transfer to that client on full payment, unless the statement of work provides otherwise.

Our proprietary systems remain ours. This includes the WOMO platform and network, AlwaysOn, Signal, our internal tooling, models, and methods, together with any improvements made to them during an engagement.

Content on this website, including copy, research, benchmarks, and design, belongs to us. You may cite it with attribution. You may not republish it in substantial part without written permission.

07
Confidentiality

Each party protects the other’s confidential information and uses it only for the purpose of the engagement.

Client performance data is treated as the client’s property. We publish case studies only in anonymized form and only with the client’s approval.

Materials we share for evaluation, including case studies and benchmark documents, are provided in confidence and are not to be redistributed.

08
Compliance and regulated markets

We work with operators holding valid regulatory standing. Clients are responsible for maintaining their licences and for the lawfulness of their products and offers.

All marketing we produce is designed to meet applicable advertising rules, including PAGCOR requirements where they apply. Final approval of published material rests with the client as the licence holder.

We may decline or withdraw from work that we believe would breach applicable regulation, platform policy, or our own responsible gaming standards. See our Responsible Gaming page.

09
Third-party platforms

Delivery depends on third-party platforms including advertising networks, tracking systems, and CRM providers. Their availability, policies, and pricing are outside our control.

Advertising platforms may restrict, suspend, or remove accounts and creative at their discretion. We work to reduce that risk and cannot eliminate it. Platform action of this kind is not a failure to deliver under these terms.

10
No guarantee of results

Figures published on this website, including benchmarks, case study results, and calculator outputs, are drawn from past engagements or supplied inputs. They are provided for planning and illustration.

Marketing performance depends on product, pricing, promotional support, market conditions, regulation, and factors outside our control. We do not guarantee any specific result, revenue, cost per acquisition, or return.

Nothing on this website is financial, legal, or regulatory advice.

11
Limitation of liability

To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid to us for that engagement in the three months before the event giving rise to the claim.

We are not liable for indirect or consequential loss, including lost profit, lost revenue, lost data, or loss of business opportunity.

Nothing in these terms excludes liability that cannot be excluded under Philippine law.

12
Termination

Either party may terminate an engagement in accordance with the notice period in the statement of work. Fees for work performed and commitments already made on the client’s behalf remain payable.

We may suspend or terminate immediately where continuing would breach regulation, platform policy, or these terms.

13
Governing law

These terms are governed by the laws of the Republic of the Philippines. Disputes are subject to the exclusive jurisdiction of the courts of Metro Manila.

14
Changes to these terms

We may update these terms. Material changes are reflected in the date at the top of this page. Continued use of the website or our services after a change constitutes acceptance.
